Terms & Conditions
Definitions
M.J. Bale means Newbale Clothing Pty Limited trading as M J Bale ACN 136 405 091.
Bale Bucks are the rewards currency earned by MJB Members based on Eligible Spend and other Earn Activity available from M.J. Bale from time to time, and available for Members to redeem against future eligible M.J. Bale purchases.
Earn Activity refers to non-spend activity with which Members can earn Bale Bucks subject to meeting specific conditions set by M.J. Bale.
Eligible Spend defines the M.J. Bale purchases, returns and exchanges that contribute to the earning of MJB Members rewards (including Bale Bucks) and access to MJB Members benefits (Tier Benefits).
MJB Members means the loyalty program offered by M.J. Bale to eligible and participating customers, and potential customers.
Member is a customer who has registered their details and created a secure M.J. Bale account with a valid email address, and who is eligible to earn and access MJB Members rewards and benefits (including Bale Bucks and Tier Benefits).
Member Terms means any applicable MJB Members terms and conditions, rules, regulations, policies and procedures of MJB Members, including, without limitation, these member terms.
Participating Stores are the M.J. Bale stores and online locations where Members can access rewards and benefits. Participating Stores are outlined within these Member Terms to define where Members can earn and access each specific reward and benefit.
Qualifying Tier Spend is the amount of Eligible Spend required by a Member to meet the spend threshold associated with MJB Members Tiers for access to corresponding Tier Benefits.
Tier Benefits are the M.J. Bale benefits available based on the MJB Members Tier Status.
Tier Status is the Tier assigned to an MJB Member based on Qualifying Tier Spend. The three Tier Status are Silver, Gold or Platinum.
2. General
2.1. The MJB Members program provides rewards and benefits to registered Members, including:
Bale Bucks – earned based on Eligible Spend and (non-transactional) Earn Activity, to be subsequently spent on M.J. Bale purchases, and
Tier Benefits - based on Eligible Spend meeting Qualifying Tier Spend for the corresponding Tier Status.
2.2. These Terms and Conditions outline the management and operation of MJB Members and associated membership, rewards, benefits, and related promotional activity. As a Member of MJB Members, you agree to and are bound, without limitation, by these Member Terms. any variations made to them and any applicable terms and conditions, rules, regulations, policies, and procedures of MJB Members. By agreeing to these Member Terms, you are entering into an agreement with M.J. Bale, including its successors, assignees, and related bodies corporate and agree to comply with any and all applicable laws and regulations, whether domestic or international.
2.3. By registering for MJB Members, you warrant and represent to us that you have read, understand, and agree to be bound by these Member Terms and that you are over the age of 18 years of age, have the right, authority and legal capacity to enter into a legally binding agreement and to abide by these Member Terms.
2.4. M.J. Bale, at its sole discretion, reserves the right to suspend, modify or terminate any aspect of MJB Members and the related Member Terms at any time without notice. M.J. Bale may collect personal information for the purpose of providing MJB Members updates to Members including related rewards and benefits, and promotional activity. Personal information will be handled in accordance with M.J. Bale’s Privacy Policy (https://www.mjbale.com/policies/privacy-policy). These Member Terms are to be read in conjunction with any additional conditions associated with Tier Benefits, including without limitation our Privacy Policy (https://www.mjbale.com/policies/privacy-policy), Website T&Cs (https://www.mjbale.com/policies/terms-of-service) and other relevant M.J. Bale policies and or terms and conditions.
2.5. M.J. Bale may request proof of your identification at any time to verify your MJB Members membership and compliance with these Member Terms.
2.6. M.J. Bale’s decisions relating to all MJB Members matters are final and binding.
2.7. M.J. Bale reserves the right to disqualify Members in violation of any of the Member Terms or we reasonably suspect members are engaged in fraudulent or dishonest conduct with MJB Members or are deemed to be abusing the program.
2.8. These Terms and Conditions are governed by the laws of the State of NSW, Australia. In any legal action with respect to MJB Members Terms and Conditions, Members will submit to the non-exclusive jurisdiction of the State of NSW, Australia Courts.
2.9. M.J. Bale acknowledges that certain jurisdiction laws (such as the Australian Competition and Consumer Act 2010 (Cth) imply terms, conditions, and warranties for the supply of goods and services. These Terms and Condition are not intended to restrict application of these laws.
2.10. All material used in MJB Members promotions is the property of M.J. Bale to the extent prescribed in the Copyright Act 1968 (Cth).
3. Membership
3.1. MJB Members Eligibility: To be eligible for MJB Members you must be over 18 years old and an Australian resident. Membership is limited to individuals only and is not available to M.J. Bale staff members, corporations, businesses, charities, partnerships, enterprises, or anyone other than an individual, unless M.J. Bale provides prior written consent, in its sole and absolute discretion. Membership is limited to one account per individual.
3.2. Registered Member Details: You become a Member when you register your personal details (at minimum, full name and email address, with mobile number and month of birth optional), with M.J. Bale via in-store staff, online (www.mjbale.com) or via the Customer Experience team (via live chat at https://www.mjbale.com/pages/contact-us, by calling 03 8657 9466 or by emailing service@mjbale.com).
3.3. Member Identification: To earn Bale Bucks and to access Tier Benefits you must be identified as a Member, including your providing your registered details to in-store staff or being logged in to your M.J. Bale online account when you make purchases (you are not identified online if you select the anonymous transaction checkbox during checkout). If you have purchased with us previously, and provided your details directly to us as part of that shopping experience, you will be automatically registered for MJB Members to receive our new rewards and benefits. You may elect to opt-out at any time. It is your responsibility to ensure your registered personal details are up to date. M.J. Bale is not responsible for any outdated details. You can update details in-store, by logging in to your MJB Members account (https://my.mjbale.com/), or via the Customer Experience team (via live chat at https://www.mjbale.com/pages/contact-us, by calling 03 8657 9466 or by emailing service@mjbale.com). As a Member, you should promptly advise M.J. Bale of any changes to your personal details (such as name and/or email address) and update your MJB Members account online (at https://my.mjbale.com/) or via staff in any M.J. Bale store. If you do not provide or update M.J. Bale with correct Member details, we may not be able to contact you about your rewards earned, Tier Benefits available, and other special offers and promotions you are eligible for. M.J. Bale is not liable if you fail to notify us of any change of details, which may result in you not earning rewards or obtaining your Tier Benefits and (where Eligible Spend cannot be linked to your MJB Member account) may also result in the downgrade of your Tier Status.
3.4. Marketing: As a Member, you will receive email notifications from M.J. Bale which may include (but not limited to), exclusive offers, sales, discounts and promotions, as well as updates relating to your MJB Members’ membership, rewards, and benefits. As a Member, you consent in advance to be contacted with latest news from M.J. Bale, special MJB Member promotions, product offers and/or other promotional purposes via email, SMS and other channels.
3.5. Email Opt Out: If you do not wish to receive M.J. Bale emails you can opt out as follows (at https://my.mjbale.com/):
a) If you no longer wish to receive general M.J. Bale emails providing news, content and general offers, you can notify the M.J. Bale team in-store or online (at my.mjbale.com, select to opt out of M.J. Bale emails), or click the opt out link in our emails. When you opt out of these emails you can still access your MJB Members Bale Bucks and Tier Benefits in-store or by logging into your account online.
b) If you no longer wish to receive specific updates about your MJB Member rewards and benefits, you can notify the M.J. Bale team in-store or online (at my.mjbale.com, select to opt out of Benefits), or click the opt out link in our emails. When you opt out of Benefits you can still access your MJB Member Bale Bucks and Tier Benefits in-store or by logging into your account online.
C) If you no longer wish to be part of MJB Members you can contact the Customer Experience team (via live chat at https://www.mjbale.com/pages/contact-us, by calling 03 8657 9466 or by emailing service@mjbale.com). By cancelling your access to MJB Members you forfeit any Bale Bucks and Tier Benefits associated with your membership at the time of cancellation.
3.6. Privacy Policy: M.J. Bale collects, uses, discloses, retains, and manages your personal information in compliance with the Privacy Act 1988 (Cth), and the Australian Privacy Principles in the Privacy Act. Personal information provided by Members for MJB Members is managed in accordance with these Terms and Conditions and M.J. Bale’s Privacy Policy (https://www.mjbale.com/policies/privacy-policy).
3.7. Your membership, Bale Bucks and Tier Benefits are non-transferrable and may not be purchased, sold, assigned, auctioned, or traded, including, without limitation, by death or as part of a domestic relations matter and doing so voids your MJB Member’s account. Bale Bucks and Tier Benefits and have no cash value and are not exchangeable for cash.
3.8. Right to change/cancel: M.J. Bale holds the right to suspend, modify, or terminate your MJB Members membership, rewards and benefits at any time if you are found to be in breach of these Member Terms. In the case of your membership being terminated any rewards and benefits (including Bale Bucks and Tier Benefits) associated to with your MJB Members account are revoked, without compensation. M.J. Bale may alter, limit, modify or terminate MJB Members, MJB Members structure, any other feature of MJB Members, or these Member Terms in its sole and absolute discretion at any time, and in any manner, without notice to you. Any modification to the Member Terms may be applied to a Member retrospectively. Your continued participation in MJB Members will confirm your acceptance of such changes.
4. Earning Bale Bucks
4.1. You earn Bale Bucks from Eligible Spend at Participating Stores when you are identified as a Member at the point of purchase. For every $1 of Eligible Spend you earn $0.05 Bale Bucks. Once converted from Eligible Spend, Bale Bucks will be rounded up or down to the nearest $0.05 Bale Buck.
4.2. Eligible Spend for Bale Bucks Earn: Includes transactions and purchases in Australian dollars (AUD) made in M.J. Bale’s Participating Stores, within Australia. Eligible Spend is calculated on the net amount of your transaction (after any discounts or refunds applied at point of purchase and includes GST). Bale Bucks are not earned on the purchase of M.J. Bale gift cards, cost of tailoring, cost of delivery, Laneway Sales, the purchase of discounted items from M.J. Bale outlet stores, and/or selected merchandise or items specifically excluded as an Eligible Spend in the sole discretion of M.J. Bale from time to time.
4.3. Bale Bucks Balance: If you meet the applicable terms, Bale Bucks earned from Eligible Spend should be automatically allocated to your MJB Members’ account within 24 hours of your transaction being invoiced. You can review your Bale Bucks balance at https://my.mjbale.com/.
4.4. Refunds: Where refunds are issued by M.J. Bale, in accordance with the M.J. Bale Return Policy (www.mjbale.com/pages/returns), the refund amount will be removed from Eligible Spend and any associated Bale Bucks earned with the original purchase will be automatically deducted from your Bale Bucks balance.
4.5. Participating Stores: You earn Bale Bucks from Eligible Spend with M.J. Bale Online (at mjbale.com) in Australia, physical M.J. Bale stores, M.J. Bale outlets (on full price items only), and M.J. Bale products purchased in physical Myer stores in Australia. You do not earn Bale Bucks on discounted items at M.J. Bale outlets, Myer online, online Marketplaces (i.e., Westfield and the Dom) and David Jones concessions (in-store and online).
Earning Bale Bucks: Participating Stores include: M.J. Bale Physical Stores, M.J. Bale Outlets, Online at M.J. Bale and Myer instore only.
Excluded Stores include: Myer online, David Jones in store and online, Westfield Online and Laneway Sales.
4.6. Bonus Bale Bucks: At its sole discretion, M.J. Bale may offer you the opportunity to earn additional Bale Bucks via promotional offers for a limited period. These offers may include (but not limited to) bonus Bale Bucks for Eligible Spend over a certain threshold, during a particular promotional period, purchase of specific products and/or in specific M.J. Bale
Participating Stores. M.J. Bale will notify you by email if you are eligible to earn bonus Bale Bucks including any specific terms and conditions and limitations that might apply.
5. Redeeming Bale Bucks
5.1. You can redeem all or any portion of your available Bale Bucks on M.J. Bale purchases in Participating Stores, to the nearest $0.05 Bale Bucks. Your Bale Bucks are deducted from your net transaction (after any discounts and refunds have been applied and including GST). Where your Bale Bucks balance, or portion of Bale Bucks you choose to redeem, is less than the transaction amount owed, another form of payment is required to complete your purchase.
5.2. Exclusions: Bale Bucks cannot be redeemed on purchases of M.J. Bale gift cards, cost of tailoring, cost of delivery, or on purchases at Laneway Sales.
5.3. Bale Bucks Validity and Expiry: Bale Bucks are valid for one year (365 days) from the day they were earned. Bale Bucks are automatically allocated at the time of redemption in the order that the Bale Bucks were initially earned. Once Bale Bucks are redeemed, they cannot be re-issued or re-used. The expiry date of the Bale Bucks is displayed on your MJB Members account dashboard. Make sure you are aware of the expiry date of your Bale Bucks to ensure you redeem prior to this date. M.J. Bale is not liable to compensate or allow late redemption to any Members who fail to redeem Bale Bucks before expiration. Once your Bale Bucks have reached their expiry and/or your MJB Members account reaches $0 Bale Bucks balance, any unredeemed Bale Bucks cannot be used.
5.4. Participating Stores: Bale Bucks can be redeemed at M.J. Bale online (mjbale.com) and physical M.J. Bale stores in Australia. Bale Bucks cannot be redeemed at M.J. Bale outlets, online Marketplaces (i.e., Westfield and the Dom), Myer and David Jones concessions (in-store and online).
Redeeming Bale Bucks: Participating Stores include: M.J. Bale Physical Stores and Online at M.J. Bale.
Excluded Stores include: M.J. Bale outlets, Myer and David Jones in store and online, Westfield Online and Laneway Sales.
5.5. Forfeit of Bale Bucks: If you cancel your membership to MJB Members you forfeit any Bale Bucks remaining and unused at the time of cancellation. If you are found in breach of these Member Terms, and your membership is terminated by M.J. Bale, you Bale Bucks are forfeited, without compensation.
6.Additional Ways to Earn Bale Bucks
6.1. M.J. Bale may, from time to time, provide you with opportunities to earn Bale Bucks via non-transactional Earn Activity. M.J. Bale reserves the right, in its sole discretion, to update, modify or cancel these methods of earning Bale Bucks at any time.
6.2. Bale Bucks from non-spend Earn Activity can be earned via the methods and applicable terms outlined below.
6.3. Complete ‘My Profile’:
You automatically earn $2 Bale Bucks when you provide the following personal information: First name, surname, email address, mobile number and month of birth.
You can provide this information in your MJB Members account (at https://my.mjbale.com/) or via our staff in-store at M.J. Bale physical stores and M.J. Bale outlets.
Complete My Profile:
Participating Stores include: M.J. Bale Physical Stores, M.J. Bale Outlets, Online at M.J. Bale, Myer and David Jones concessions.
Excluded Stores include: Westfield Online and Laneway Sales.
6.4. Bring Your Own Bag:
You earn $1 Bale Buck when you bring your own bag(s) into an M.J. Bale store and are identified as a Member when you make a purchase.
The $1 Bale Buck is applied to your MJB Members account by in-store staff irrespective of the brand, type or style of bag(s) brought, and will be available on your account within 24 hours of your purchase.
Participating Stores for Bring Your Own Bag include M.J. Bale physical stores and outlets. Bring Your Own Bag is not available online (at mjbale.com or Marketplaces) or in Myer or David Jones concessions.
Bring Your Own Bag:
Participating Stores include: M.J. Bale Physical Stores and M.J. Bale Outlets.
Excluded Stores include: Myer and David Jones concessions, Westfield Online and Laneway Sales.
Subject to these terms, and providing you make a purchase, there is no limit to the number of times you can earn Bale Bucks by bringing your own bag.
6.5. ReBale Offer:
“ReBale” is an initiative by M.J. Bale that rewards MJB Members for recycling their pre-owned M.J. Bale branded garments.
As an MJB Member you can earn $20 “ReBale” Bucks when you bring your pre-loved M.J. Bale garments in-store for M.J Bale to recycle.
The $20 ReBale Bucks are applied to your MJB Members account by in-store staff and will be available within 24 hours of the garments being accepted.
All M.J. Bale branded garments will be accepted, regardless of condition except accessories, intimates and/or swimwear.
You can only recycle your M.J. Bale garments once per day and can only have one $20 ReBale Bucks activated on your MJB Members account at one time.
ReBale Bucks expire 90 day safter issuance.
If you redeem your $20 ReBale Bucks or they expire, then you will be eligible to receive a new $20 ReBale Bucks if you return more M.J. Bale garments in-store.
ReBale: Participating Stores include: M.J. Bale Physical Stores and M.J. Bale Outlets.
Excluded Stores include: M.J. Bale Online, Myer and David Jones Concessions, Westfield Online and Laneway Sales.
M.J. Bale reserves the right to deny access to the ReBale offer if it suspects a customer is misusing the offer.
6.6. Refer A Baler: Refer A Baler is the referral program of MJB Members.
Existing MJB Members may refer new members to the program using their first name and email address
Upon accepting the invitation and creating an account, the new member will receive $20 Bale Bucks towards their first transaction over $99
Upon successful completion of this transaction above $99, the existing member who referred the new member will also receive $20 Bale Bucks
The prospective new member has 30 days to accept the invitation
Bale Bucks issued through Refer A Baler are valid for 30 days from issuance date
Maximum 20 referrals per MJB Member
M.J. Bale reserves the right to validate the eligibility of any Referred Customer with respect to whether they are a new customer or as otherwise and may determine any Referred Customer to be ineligible in its sole discretion.
We make every effort to ensure the referral tracking system is accurate but are not responsible if a referral link is disrupted due to your, the Referred Customer’s or a third party’s actions or failure to act, including without limitation, failing to complete sign-up and subsequently signing up for the Service directly without using the Unique Referral Link, changing computers or devices, or any another mechanism that potentially could disrupt the operation of the referral tracking technology. Qualification for, and source of, a Referral is determined in our sole discretion.
M.J. Bale reserves the right to change or modify the terms of the referral program, at any time, provided that any Referral Bonus that you have earned prior to such change or termination will be subject to the terms that were in effect at the time it was earned.
6.7. Bale Bucks balance: Upon meeting the applicable terms, Bale Bucks earned from non-spend activity are typically allocated to your MJB Members’ account within 48 hours. You can review your Bale Bucks balance at https://my.mjbale.com/.
7. Refunds
If you return an M.J. Bale product and are issued with a refund, this refund amount Is deducted from Eligible Spend. This means:
a) Any Bale Bucks that were originally earned on the Eligible Spend being refunded, are deducted from your Bale Bucks balance; and
b) The equivalent refunded Eligible Spend is deducted from your Qualifying Tier Spend.
Where an M.J. Bale product, purchased in part using Bale Bucks, is subsequently returned, you will receive a cash refund (including to your debit or credit card) for the amount paid in cash (or debit or credit card). The Bale Bucks used as part payment for the returned product will be forfeited and not re-issued to your account.
Where an M.J. Bale product purchased in full using Bale Bucks is subsequently returned, the Bale Bucks used for this purchase will be forfeited and not re-issued to your account. No cash refund is applicable.
All returns are managed in accordance with the M.J. Bale Return Policy (www.mjbale.com/pages/returns) irrespective of any issuance or redemption of Bale Bucks.
8.MJB Members Tiers and Benefits
8.1. Tier Status: You are automatically assigned MJB Member Tier Status based on Eligible Spend that meets the below Qualifying Tier Spend threshold. Your Tier Status is based on Eligible Spend from your initial purchase at the time that you register as an MJB Member and at each (365 day) anniversary of your last Tier assignment.
8.2. Qualifying Tier Spend and Tier Benefits are outlined below:
8.3. Initial Transaction: If you make a transaction in a Participating Store at the time of registering with MJB Members, any Eligible Spend included in that transaction contributes to the Qualifying Tier Spend.
8.4. Existing Members: If you were already registered with M.J. Bale prior to the launch of MJB Members on 7 November 2022 your Tier Status will be allocated based on the Qualifying Tier Spend threshold met in the twelve (12) months prior to the Commencement Date. You are deemed to accept the Member Terms on and from this Commencement Date. Based on your Qualifying Tier Spend date identified in the prior twelve (12) months, if your current tier anniversary falls within 4 months of the Commencement Date (specifically between 3 November 2022 and 28 February 2023) M.J. Bale will extend your tier anniversary by 120 days to give you an opportunity to maintain your current tier status.
8.5. Eligible Spend for Tier Qualification: Includes all purchases in Australian dollars (AUD) made with M.J. Bale in Participating Stores. Eligible Spend is the net amount (calculated after any discounts and refunds applied at point of purchase and includes GST). The purchase of M.J. Bale gift cards, cost of delivery, cost of tailoring and alterations, selected merchandise or items specifically excluded from Eligible Spend in the sole discretion of M.J. Bale from time to time, are not Eligible Spend and will not contribute to your Qualifying Tier Spend.
8.6. Refunds: Where refunds are issued, in accordance with the M.J. Bale Refund Policy (https://www.mjbale.com/pages/returns) the refund amount is deducted from Eligible Spend, including deduction of this refund amount from your Qualifying Tier Spend balance.
8.7. Validity of Tier Benefits: Upon Tier allocation you gain access to the corresponding Tier Benefits outlined above. Access to these Tier Benefits is valid for the next year (365 days).
8.8. Tier Anniversary: At the 365-day anniversary of your Tier Status assignment your Eligible Spend is assessed pertaining to Qualifying Tier Spend threshold. According to the Qualifying Tier Spend threshold met at this time, your Tier Benefits may change including the loss of access to some Tier Benefits if you are re-assigned a lower Tier Status.
8.9. Tier Upgrade: When you meet the Qualifying Tier Spend threshold of a higher Tier, your Tier Status is automatically upgraded and, upon this qualification, you gain access to the corresponding Tier Benefits. These Tier Benefits are valid for the next year (365 days).
8.10. Participating Stores: Tier Benefits can be accessed via Participating Stores outlined below:
8.11. Availability of Tier Benefits: M.J. Bale will not be held responsible for any Tier Benefits that are unavailable at a Participating Store for any reason.
Birthday Reward (Gold / Platinum Tiers):
If you have registered your month of birth with MJB Members, you may be eligible to receive a birthday reward (‘Birthday Bucks’) depending on your Tier Status which is applied as a credit towards any M.J. Bale purchase.
a) Gold MJB Members receive $20 Birthday Bucks
b) Platinum MJB Members receive $30 Birthday Bucks
Your Birthday Bucks are automatically applied to your MJB Members account 14 days prior to your birth month based on your Tier Status at that time and are valid for a further 45 days after the commencement of your birth month.
During this validity period you can redeem your Birthday Bucks towards a purchase at Participating Stores, including M.J. Bale physical stores in Australia or online (at mjbale.com) only.
M.J. Bale reserves the right, in its sole discretion, to modify or cancel this birthday reward at any time, without notice.
8.12. Early Access and Exclusive Offers (Silver / Gold / Platinum Tiers):
M.J. Bale, at its sole discretion and depending on your Tier Status, may invite you to access special promotional offers, discounts, and sales.
This may include (but not limited to) advanced access to, and/or discounts on, specific products or product ranges, in specific Participating Stores (online and/or in-store).
You will be notified of these special promotional offers by email if you have elected to receive marketing emails from MJB Members, detailing specific terms and conditions for the sale or promotion, including but not limited to, how you can access the sale, discount/value, Participating Stores, location, limited time availability and any other applicable restrictions.
Platinum Access (Platinum Tier only):
M.J. Bale, at its discretion, may invite you to exclusive events that are specifically for Platinum Tier MJB Members.
You may be invited to exclusive events from M.J. Bale by email if you have elected to receive marketing emails from MJB Members, informing you of any specific terms and conditions, including but not limited to, event location, how to register for or book the event, and any limited time availability or other applicable restrictions.
8.13. Complimentary Tailoring (Platinum Tier only):
As a Platinum MJB Member you can access free essential tailoring of up to two trouser hemming per year (365 days from your Platinum Tier assignment).
As Platinum MJB Member your complimentary tailoring is available:
In Participating Stores including M.J. Bale physical stores (excluding Myer concessions) at the time of purchasing trousers applicable for essential tailoring.
For eligible click and collect orders, free essential tailoring can be arranged at the time of pick-up from the M.J. Bale store.
8.14. Complimentary Shipping (Gold and Platinum Tiers):
Gold Tier Members: As a Gold MJB Member you can claim unlimited free standard shipping in Participating Stores.
Platinum Tier Members: As a Platinum MJB Member you can claim unlimited free express shipping in Participating Stores.
Participating Stores include online (at mjbale.com) and M.J. Bale physical stores (including ‘floor to door’ shipping where products are not available and can be shipped to you separately)
8.15. Complimentary Returns (Platinum Tier only):
As a Platinum MJB Member you can access free unlimited express returns in Participating Stores.

As a Platinum MJB Member you can arrange for specific store hours by appointment in Participating Stores (in-store only) via in-store staff or via the M.J. Bale concierge.

M.J. Bale makes every effort to facilitate your specific personal request, however, cannot guarantee all requests for exclusive store hours depending on your circumstances.

10.Intellectual Property
10.1. All MJB Members design, text, graphics, logos, images, titles, phrases and product names and the copyrights, trademarks, service marks, trade dress and/or other intellectual property in such materials are owned by the M.J. Bale.
11.Release and Indemnity
11.1. To the maximum extent permitted by law, M.J. Bale excludes any and all liability to you, whether in contract, tort (including negligence) or otherwise, for any special, indirect or consequential loss arising under or in connection with these Member Terms, including but not limited to, any loss of business opportunity or anticipated savings.
11.2. To the maximum extent permitted by law, M.J. Bale expressly excludes any conditions, warranties, guarantees, rights, remedies, liabilities or other terms that may be implied by custom, under the general law or by statute in favour of you under these Member Terms.
11.3. You agree to release and indemnify and hold M.J. Bale and its affiliates, agents, and employees, harmless from and against any claims, demands, proceedings, losses and damages (actual, special and consequential) of every kind and nature, known and unknown, including legal fees on a full indemnity basis, arising from or in relation to your use of MJB Members, your breach of these Member Terms, or your violation of any law or the rights of a third party.
11.4. This clause survives termination of these Member Terms.
12.General
12.1. Waiver: Any failure or delay by M.J. Bale in exercising a power or right (either wholly or partially) in relation to these Member Terms does not operate as a waiver or prevent M.J. Bale from exercising that power or right or any other power or right. We are not liable to any other party for any loss, cost or expense that may have been caused or contributed to by the failure, delay, waiver or exercise of a power or right. This clause survives termination of these Member Terms.
12.2. Force majeure: If we are unable to perform in whole or in part, any obligation under these Member Terms as a result of any fact, circumstance or matter beyond our control, we are relieved of that obligation to the extent and for the period that it we are unable to perform the obligation. You agree that M.J. Bale will not be held liable for any delay or failure in performance of any part of MJB Members.
12.3. Severability: If any part of these Member Terms is determined to be by a court of competent jurisdiction to be invalid or unenforceable, that part shall be severed from the Member Terms. Such invalidity does not affect the validity of the remaining provisions of these Member Terms. This clause survives termination of these Member Terms.
12.4. Relationship: These Member Terms do not confer an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between M.J. Bale and you or any other party unless expressly stated otherwise.
12.5. Entire agreement: These Member Terms (and all other terms and conditions and policies that are incorporated by these Member Terms) and any additional policies or terms you have agreed to through use or access of MJB Members make up the entire agreement, and supersede all prior written and oral agreements, representations, undertakings and understandings. Where there is an inconsistency between these Member Terms and any additional Member Terms, the additional Member Terms will prevail. This clause survives termination of these Member Terms.
12.6. Jurisdiction: These Member Terms are governed by the laws of Victoria, Australia. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts operating in Victoria and its appellate courts. Although MJB Members may be accessed throughout Australia and overseas, we make no representations or warranties that its content, comply with the laws (including intellectual property laws) of any country outside Australia. If you access MJB Members from outside Australia, you do so at your own risk and are responsible for ensuring compliance with all laws in the place where you are located. This clause survives termination of these Member Terms.
